Thanks for using our products and services (“Services”). By using our Services, you agree to these Terms. Please read them carefully.

The Services may rely on generative artificial intelligence and large language models. These technologies are still evolving, and outputs may be inaccurate or unpredictable.

WE DO NOT MAKE ANY REPRESENTATION OR WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES, OR AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, OR RELIABILITY OF THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY CONTENT, INFORMATION, ALERTS, OR ANALYSES PROVIDED THROUGH THE SERVICES.

 
Using our Services

You must follow any policies or guidelines made available within the Services.

Do not misuse our Services. For example:

  • Don’t interfere with the Services

  • Don’t attempt to access them using methods other than the interface we provide

  • Don’t use our Services for unlawful purposes

  • Don’t attempt to bypass security, rate limits, or access controls

We may suspend or stop providing Services to you if you violate these Terms, our policies, or if we are investigating suspected misconduct.

 
Age Restrictions (COPPA Compliance)

You must be 18 years or older to use our Services.
If you are under 18, you may only use the Services with permission from a parent or guardian.

We do not knowingly collect personal information from children under 18. If you believe a minor has submitted personal information, please contact us.

Intellectual Property

Using our Services does not give you ownership of any intellectual property rights in the Services or the content you access.

You may not use content from our Services unless permitted by its owner or by law.

These Terms do not grant you the right to use Vyrtices branding, logos, trademarks, or design elements.

You retain ownership of your content and any AI-generated content you create through our Chatbot or AI Services.

Third-Party Content

Our Services may ingest, analyze, or display content not created by Vyrtices. That content remains the sole responsibility of the entity that made it available.

We may review content to determine whether it violates law or policy and may remove or refuse to display such content. However, we do not guarantee that we review all content.

Service Communications

In connection with your use of the Services, we may send you:

  • Service announcements

  • Administrative messages

  • Security notices

  • Policy updates

Some of these communications are required and cannot be opted out of.

Mobile Use

Some Services may be available on mobile devices. Do not use them while driving or in any way that compromises safety.

Your Vyrtices Account

By using our Services, you agree to follow these account security practices:

  • Keep your password confidential

  • Do not reuse your Vyrtices password on third-party sites

  • You are responsible for all activity associated with your account

  • Notify us immediately if you suspect unauthorized access

User Conduct and Content Restrictions

You agree not to use the Services to:

a) Infringe intellectual property rights
b) Violate laws or regulations
c) Harass, abuse, or harm another person
d) Impersonate any person or entity
e) Interfere with or disrupt the Services
f) Attempt unauthorized access to the Services or other accounts
g) Spread malware, viruses, or malicious code
h) Engage in activities that could damage or overload the Services
i) Generate harmful, abusive, or illegal content with AI tools

We reserve the right to remove content or suspend users who violate these Terms.

Privacy and Copyright Protection

The Vyrtices Privacy Policy explains how we handle your personal data. By using our Services, you agree that Vyrtices may process your data consistent with the Privacy Policy.

We respond to notices of alleged copyright infringement in accordance with the U.S. Digital Millennium Copyright Act (DMCA).

Your Content in our Services

Some Services allow you to upload, submit, store, send, or receive content.
You retain ownership of any intellectual property rights you hold in your content, including content you create using our AI tools.

By submitting content through the Services, you grant Vyrtices (and our service providers) a worldwide, non-exclusive, royalty-free license to:

  • Use the content

  • Reproduce and store the content

  • Process it with AI tools

  • Display and transmit it only as necessary to provide and improve the Services

This license continues even after you stop using the Services.

Our automated systems may analyze your content to:

  • Provide the Services

  • Improve performance and stability

  • Detect spam, abuse, or malware

If you submit feedback or suggestions, we may use them without obligation to you.

 
About Software in our Services

We grant you a personal, worldwide, royalty-free, non-exclusive, non-transferable license to use the software provided as part of the Services.

You may not:

  • Copy, modify, distribute, sell, or lease our software

  • Reverse engineer or attempt to extract source code

  • Remove copyright notices

Unless laws prohibit these restrictions or you have our written permission.

Modifying and Terminating our Services

We continuously improve our Services and may add or remove features over time. We may also suspend or discontinue Services at any time.

You may stop using our Services at any time.

​

If we discontinue a Service, we will provide reasonable notice when possible and offer an opportunity to retrieve your data.

 
Termination

We may suspend or terminate your account immediately, without prior notice, for:

  • Violating these Terms

  • Misuse of the Services

  • Legal or operational reasons

Upon termination, your right to use the Services ceases immediately.

Our Warranties and Disclaimers

We provide the Services using commercially reasonable skill and care.
However, we make no specific guarantees about the Services.

ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by law, Vyrtices disclaims all warranties, including:

  • Implied warranties of merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Reliability or availability of AI-generated results

Liability for our Services

To the extent permitted by law:

  • Vyrtices and its suppliers will not be liable for indirect, special, consequential, exemplary, or punitive damages.

  • We are not responsible for lost profits, lost data, business interruption, or financial losses.

  • The total liability of Vyrtices for any claim is limited to the amount you paid to use the Services, or at our election, re-supplying the Services.

We are not liable for damage or loss that is not reasonably foreseeable.

Dispute Resolution and Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, except for claims eligible for small claims court.

Arbitration will be conducted by the American Arbitration Association (AAA) under its rules.
It will take place in New York, NY, or another mutually agreed location.

Judgment on the arbitration award may be entered in any court with jurisdiction.

Class Action Waiver

You and Vyrtices agree to bring claims only on an individual basis, not as part of a class or representative proceeding.

Opt-Out

You may opt out of this arbitration agreement within 30 days of accepting these Terms by contacting us.

Indemnification

You agree to indemnify and hold harmless Vyrtices, its officers, employees, affiliates, contractors, and agents from any claims, damages, losses, liabilities, or expenses arising from:

  • Your use of the Services

  • Your violation of the Terms

  • Your violation of any third-party right

About these Terms

We may modify these Terms periodically.
We will update the “Last Modified” date and notify you if changes are material.

Continued use of the Services after changes constitutes acceptance.

If a term is found unenforceable, the remaining terms remain in effect.

Governing Law

These Terms are governed by the laws of the State of New York, excluding its conflict of law principles.

All claims will be litigated exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

​

Entire Agreement

These Terms constitute the entire agreement between you and Vyrtices regarding the Services, superseding any prior agreements or understandings.
